TOKYO, February 18, 2021 — FUJIFILM Corporation (President: Kenji Sukeno) announced that it has entered into an agreement with Hitachi, Ltd. (Hitachi) to acquire Hitachi's Diagnostic Imaging-related Business (the Business) on December 18, 2019 in its effort to further expand its Healthcare business.
Today, Hitachi and FUJIFILM Healthcare, which was established by Hitachi to absorb the Business, have signed an agreement for absorption-type company split. With the commencement of a procedure for company split in relation to the Business, Fujifilm announces that the acquisition process is expected to complete on March 31, 2021.
Fujifilm, through this acquisition, further expands its Medical Systems business.
The Business has a strong global presence, providing a comprehensive suite of products including CT, MRI, X-ray, and ultrasound systems. The business not only serves as a stable revenue base, but also shows potential for further growth. In recent years, vendors have been expected in clinical settings to provide solutions that directly benefit medical institution's management, combining various products including CT, MRI, X-ray, PACS, endoscopy, and ultrasound systems. The product portfolios of Fujifilm and the Business overlap little. The combination of their product lineups dramatically enhances its capability to offer a comprehensive solution to medical institutions. In addition, Fujifilm's advanced image processing technologies and AI technologies can be applied to products in the Business's comprehensive lineup to create new values, contributing to high quality medical care. Such values will be delivered globally utilizing extensive sales network.
